Terms and conditions
This English version is provided for convenience. In case of any discrepancy, the German version is legally binding.
§ 1 Scope
These General Terms and Conditions (AGB) apply to all contracts between
Niklas Gramann & Johann Gillhaus
ikone productions GbR
Hofmannstrasse 7a, 81379 München
(hereinafter “ikone productions” or “Contractor”)
and its clients (hereinafter “Client”) for the provision of the following services:
- Rental of studio time (sound studios, recording rooms, video podcast studio)
- Production of video podcasts and audio productions
- Technical support and post-production
- Rental of production equipment
Deviating terms of the Client shall not apply unless ikone productions expressly agrees to their validity in writing. These terms and conditions shall also apply if ikone productions performs the services without reservation in the knowledge of conflicting or deviating terms of the Client.
§ 2 Conclusion of contract and booking process
- Enquiry: The Client’s enquiry (by email, contact form or phone) constitutes a non-binding offer to book.
- Offer: On this basis, ikone productions submits a binding offer including a description of services, scheduling and remuneration.
- Booking confirmation: The contract is concluded upon the Client’s written confirmation (email is sufficient) and payment of the agreed deposit (§ 3.2).
- Subject to availability: Dates are only reserved bindingly once the deposit has been received in full.
- Verbal side agreements require written confirmation by ikone productions.
§ 3 Prices and terms of payment
- Prices: The prices agreed at the time of booking in accordance with the individual offer apply. All prices are net plus statutory VAT.
- Deposit: A deposit of 50% of the total amount is due upon conclusion of the contract. The remaining payment must be made in cash or by bank transfer no later than on the day the service is provided (session day).
- Late payment: In the event of late payment, ikone productions is entitled to charge default interest at the statutory rate. The right to assert further claims for damages remains reserved.
- Due date of invoices: Invoices for post-production and production services are payable without deduction within 14 days of the invoice date.
- For larger projects (total volume > €2,000), ikone productions reserves the right to agree separate payment schedules.
§ 4 Cancellation and rebooking
| Time of cancellation | Cancellation fee |
|---|---|
| More than 7 working days before the date | Free of charge: full refund of the deposit |
| 3 to 7 working days before the date | 50% of the agreed total amount |
| Less than 3 working days before the date | 100% of the agreed total amount |
| No-show (unexcused non-attendance) | 100% of the agreed total amount |
- Form of cancellation: Cancellations are only effective in writing (email to info@ikone.de). The time at which ikone productions receives the email is decisive.
- Rebooking: A one-time free rebooking is possible up to 5 working days before the date, provided an alternative date is available. Later rebookings are treated as a cancellation with a simultaneous new booking.
- Cancellation by ikone productions: ikone productions is entitled to cancel in the event of force majeure, technical inoperability or official orders. In this case, the deposit will be refunded in full; further claims for damages by the Client are excluded.
§ 5 Obligations of the Client
- Punctuality: The Client arrives punctually for the agreed date. Waiting times count against the booked studio time, without the date being extended.
- House rules: Smoking is strictly prohibited throughout the entire studio area. The consumption of alcohol and drugs is prohibited. Pets are not permitted.
- Accompanying persons: The number of persons brought along is to be limited to the production team and persons actually involved in the production. Visitors with no connection to the production must be announced in advance.
- Duty to cooperate: The Client provides all documents, approvals and permissions required for the production (in particular music rights, reprint rights, interview permissions) in good time.
- GEMA / music rights: The use of copyright-protected music is the sole responsibility of the Client. The Client is solely liable for any GEMA fees or other licence costs incurred.
§ 6 Use of studio, equipment and premises
- Proper use: The studio equipment and the premises are to be used exclusively for their intended purpose and with due care.
- Damages: The Client is liable for damage caused by the Client, its employees or its companions. Damage must be reported immediately. Liability for equipment damage is based on the replacement value at the time of the damage.
- Bringing own equipment: Bringing and operating the Client’s own equipment (e.g. laptops, instruments, loudspeakers) is only permitted after prior consultation with and approval by ikone productions. The Client bears any damage caused by equipment brought along.
- Cleaning: The Client leaves the premises in proper condition. Extraordinary cleaning costs will be invoiced.
- Catering: Food and drinks may only be consumed in the area designated for this purpose (bar / anteroom), not in the recording and studio areas.
- Noise and disturbance obligation: Outside recording times, consideration must be shown for the other studio operations.
§ 7 Liability and limitation of liability
- Exclusion of liability: ikone productions is only liable for damage based on intent or gross negligence and for damage resulting from injury to life, body and health. Otherwise, liability is limited to foreseeable damage typical for the contract.
- Data loss: ikone productions accepts no liability for the loss of recordings, project data or files stored on the Client’s own project devices. ikone productions recommends that the Client make its own data backups immediately after each session.
- Third-party providers / cooperations: For services provided by cooperation partners (e.g. Hertz Studio), the liability of the respective partner applies. In these cases, ikone productions is only liable for its own fault in arranging the services.
- Operational disruptions: ikone productions accepts no liability for outages due to force majeure (power failure, natural disasters, pandemics, official orders). In this case, the affected portion of the studio time will be refunded pro rata or an alternative date will be agreed.
- The liability of ikone productions towards entrepreneurs is limited to the typical foreseeable damage and capped at the order value, unless there is gross negligence or intent.
§ 8 Copyright and rights of use
- Property of the Client: All content contributed by the Client in the course of the production (texts, music, images, concepts) remains the property of the Client. The Client warrants that it holds the necessary rights of use to this content.
- Production results: Ownership of the production results created within the scope of the order (audio and video files, mixes, mastering versions) passes to the Client upon full payment of the agreed remuneration.
- Use by ikone productions: ikone productions is entitled to use the collaboration and the productions created (unless agreed as confidential) for reference purposes in its portfolio, on its website and on social media, unless the Client expressly objects in writing. No remuneration is payable for this.
- Confidential productions: At the Client’s express written request, productions will be marked as confidential and not published. This request must be made no later than upon conclusion of the contract.
- Music synchronisation rights: When using third-party music, the Client is itself responsible for obtaining all necessary synchronisation rights, master licences and other permissions.
§ 9 Retention and destruction of project data
- Retention period: Project data (raw data, project files, exports) is retained on the systems of ikone productions for a period of 30 days after delivery of the final product, unless otherwise agreed.
- Deletion: After the retention period has expired, all project data will be irrevocably deleted. ikone productions is not obliged to inform the Client of the deletion in advance.
- Longer retention: Longer retention is possible by separate written agreement and may be invoiced additionally.
- Liability for data loss: ikone productions accepts no liability for data losses occurring after the retention period has expired. The Client is advised to create its own backup copies immediately after delivery.
§ 10 Data protection
The collection, processing and use of the Client’s personal data is carried out exclusively for the purpose of processing the contract and within the framework of the applicable data protection provisions (GDPR (DSGVO), BDSG). For further information, please refer to our privacy policy.
§ 11 Final provisions and place of jurisdiction
- Applicable law: The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- Place of jurisdiction: The place of jurisdiction for all disputes arising from or in connection with this contract is München, provided the Client is a merchant (Kaufmann), a legal entity under public law or a special fund under public law. For consumers, the statutory place of jurisdiction applies.
- Consumer dispute resolution: We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
- Severability clause: Should individual provisions of these terms and conditions be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes as close as possible to it in economic terms.
- Written form requirement: Amendments and additions to these terms and conditions as well as side agreements require the written form. This also applies to the cancellation of this written form requirement.
